EDISON SOURCE AND PHILADELPHIA GAS WORKS
FORM NEW ENERGY ALLIANCE

CITY OF INDUSTRY, Calif., August 20, 1998—Edison Source and Philadelphia Gas Works (PGW) today announced an agreement to begin marketing electricity in Pennsylvania’s deregulated retail electric energy market.

PGW is the nation’s largest municipally-owned utility currently serving more than half a million residential, commercial and industrial natural gas customers.

The final agreement between PGW and Edison Source is being reviewed by the Philadelphia Gas Commission (PGC) and Philadelphia City Council. Under the venture, Edison Source will provide energy procurement, scheduling and risk management.

"For more than 160 years, PGW has successfully served the natural gas needs of residential and business customers. Their reputation for quality service and knowledge of the communities they serve makes them the perfect one-stop source for gas and electricity," said Stephen E. Pazian, CEO of Edison Source. "We are honored to be a part of this exciting new opportunity."

"This is a terrific alliance for PGW and all of our customers and stakeholders," said James Hawes III, president and CEO of PGW. "Edison Source provides us with a broad range of experience that will allow PGW to market and deliver reliable electric generation service, at competitive rates, to our more than 500,000 customers."

Under the guidelines approved by the Pennsylvania Public Utility Commission, Pennsylvanians who are selected to participate in the customer choice program may begin choosing September 1, 1998 from a number of electricity generation suppliers including the PGW-Edison Source alliance. Electric providers will begin serving new customers in January 1999.

Edison Source, headquartered in the City of Industry, CA, is a subsidiary of Edison International, a world leader in energy production, distribution, capital financing, and the marketing of consumer products and services. Edison Source provides energy and energy-related services to residential and business customers. Other retail affiliates of Edison Source include Edison Select, which markets a broad range of consumer products and services and Edison Utility Services, which specializes in electric utility billing, outage management, and transmission and distribution services.
